You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.
You may not share your account with others, impersonate another person or entity, or create multiple accounts to circumvent restrictions or safeguards. You agree to notify Nuvyo promptly if you suspect any unauthorized use of your account or any breach of security.
The Services may be accessed or used by individuals acting on behalf of an organization, employer, educational institution, or other entity. In such cases, the individual represents and warrants that they have authority to bind the organization to these Terms.
Nuvyo may offer enterprise, organizational, or administrative account structures that permit designated administrators to manage access, view usage information, or receive aggregated or account-level insights related to use of the Services, subject to applicable agreements and settings. Additional terms or agreements may apply to enterprise or organizational use.
Nuvyo reserves the right, in its sole discretion, to suspend, restrict, or terminate your account or access to the Services at any time if it believes you have violated these Terms, provided inaccurate information, engaged in prohibited conduct, or pose a risk to the Services, other users, or Nuvyo.
Nuvyo provides an AI-powered, audio-first interview training and career performance platform designed to support practice, skill development, and self-improvement through interactive simulations, feedback, and analytics. The Services may include AI-generated evaluations, performance insights, progress tracking, and other informational outputs.
The Services are intended solely for training, practice, and informational purposes. Nuvyo does not guarantee outcomes, results, employment opportunities, hiring decisions, or performance improvements. Any outputs generated by the Services are evaluative and informational in nature and should not be interpreted as professional, legal, medical, psychological, or hiring advice.
The Services may be offered in different configurations, including individual, organizational, or enterprise offerings. Features, access levels, analytics, and administrative controls may vary depending on the type of account, applicable agreements, or deployment context.
Nuvyo may modify, update, expand, limit, or discontinue any aspect of the Services at any time, with or without notice. Features may change, evolve, or be removed as the Services develop, and Nuvyo makes no commitment to maintain any particular functionality or feature.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws, rules, and regulations.

Nuvyo reserves the right to investigate suspected violations of these Terms and to take appropriate action, including suspending or terminating access to the Services.
The Services may allow you to submit, upload, record, transmit, or otherwise make available content, including audio recordings, video, text, responses, resumes, documents, and other materials ("User Content").
You retain ownership of your User Content, subject to the license granted below. By submitting or making available User Content through the Services, you grant Nuvyo a worldwide, irrevocable, perpetual, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, host, store, reproduce, analyze, modify, adapt, create derivative works from, distribute, and otherwise process such User Content for purposes of operating, providing, maintaining, improving, and developing the Services, including training, evaluating, and improving Nuvyo's artificial intelligence, machine learning, and analytical systems, as described in the Privacy Policy.
This license survives termination of your account or cessation of use of the Services.
You represent and warrant that you own or have all necessary rights, permissions, and authority to submit User Content and to grant the license described above, and that your User Content does not violate any applicable laws or the rights of any third party.
The Services include outputs generated by automated systems, including artificial intelligence, machine learning, and analytical models. These outputs may include evaluations, feedback, insights, summaries, scores, or other informational content generated based on User inputs and system analysis.
All outputs provided through the Services are evaluative, probabilistic, and informational in nature. They are not guarantees of accuracy, completeness, or suitability for any particular purpose. Outputs are generated based on patterns, assumptions, and available data, and may contain errors, omissions, or limitations.
The Services and any outputs generated through them do not constitute professional, legal, medical, psychological, or hiring advice, and are not intended to replace independent judgment, professional consultation, or human decision-making. Nuvyo does not represent or warrant that outputs will result in employment offers, hiring decisions, performance improvements, or other outcomes.
The Services may generate benchmarking, comparative, or market-level insights based on analysis of data across multiple users, sessions, or usage contexts. Such insights may include aggregated statistics, relative performance indicators, percentiles, trends, or other comparative analytics.
Benchmarking and comparative analytics are provided for informational and self-improvement purposes only. They do not represent objective rankings, definitive assessments, or guarantees of performance, outcomes, or opportunities. Benchmarking outputs are contextual and depend on available data, analytical methods, and system design.
You acknowledge and agree that you are solely responsible for how you interpret, evaluate, and use any outputs generated by the Services. You agree not to rely on the Services or any outputs as the sole basis for making automated or high-stakes decisions about yourself or others, including employment, hiring, promotion, compensation, or eligibility determinations.
The Services, including all software, systems, algorithms, models, interfaces, designs, analytics, outputs, and related materials, are owned by or licensed to Nuvyo and are protected by intellectual property and other applicable laws. Except as expressly stated in these Terms, no rights or licenses are granted to you.
Nuvyo retains all right, title, and interest in and to the Services and all related intellectual property, including all improvements, modifications, enhancements, derivative works, and analytical outputs generated by or through the Services. This includes all inferred, derived, aggregated, and system-generated data, metrics, and insights.
Subject to your compliance with these Terms, Nuvyo grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your personal, non-commercial use. This license does not permit you to copy, reproduce, distribute, sell, lease, reverse engineer, scrape, extract, or otherwise exploit the Services or any underlying systems or outputs.
For the avoidance of doubt, all aggregated, anonymized, de-identified, inferred, derived, or comparative analytics generated by the Services, including benchmarking and market-level insights, are part of the Services and are owned by Nuvyo.
You agree not to use the Services in a manner that competes with Nuvyo or that attempts to replicate, benchmark, or derive the underlying models, algorithms, or systems.
If you provide feedback, suggestions, ideas, or recommendations regarding the Services, you acknowledge and agree that such feedback is provided voluntarily and without expectation of compensation, attribution, or confidentiality.
You grant Nuvyo an unrestricted, perpetual, irrevocable, royalty-free, and fully sublicensable right to use, modify, implement, and incorporate any feedback or suggestions for any purpose, including improving and developing the Services, without any obligation to you.
The Services may include integrations with, links to, or reliance on third-party websites, platforms, tools, or services that are not owned or controlled by Nuvyo. Nuvyo does not endorse and is not responsible for the content, functionality, availability, or practices of any third-party services.
Your use of third-party services is subject to the terms and policies of those third parties, and Nuvyo is not responsible for any loss, damage, or issues arising from your use of or reliance on third-party services. Accessing third-party services through the Services is at your own risk.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVYO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, RELIABILITY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NUVYO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DEFECTS, OR THAT ANY OUTPUTS WILL BE ACCURATE, COMPLETE, OR USEFUL FOR ANY PARTICULAR PURPOSE. USE OF THE SERVICES IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NUVYO, ITS AFFILIATES, FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF OPPORTUNITIES, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICES.
NUVYO SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM OR RELATING TO:
TO THE EXTENT PERMITTED BY LAW, NUVYO'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO NUVYO FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
THE LIMITATIONS SET FORTH IN THIS SECTION APPLY EVEN IF NUVYO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
You agree to indemnify, defend, and hold harmless Nuvyo and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Nuvyo reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with such defense.
Nuvyo may suspend, restrict, or terminate your access to the Services, in whole or in part, at any time and for any reason, with or without notice, in its sole discretion.
Termination or suspension of your account does not affect:
Upon termination, your right to access and use the Services will immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, arbitration, and governing law.

You and Nuvyo agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration on an individual basis, and not in a class, consolidated, or representative action.
The arbitration shall be conducted by a neutral arbitrator in accordance with applicable arbitration rules, and judgment on the arbitration award may be entered in any court of competent jurisdiction.
YOU AND NUVYO EXPRESSLY WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.
Nothing in this section prevents Nuvyo from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information, or proprietary rights.
Where required for enforceability, you may opt out of this arbitration agreement by providing written notice to Nuvyo within a limited period after first accepting these Terms, in accordance with instructions provided by Nuvyo.
These Terms and any dispute arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
To the extent that any dispute is permitted to be brought in court notwithstanding the arbitration requirement, such dispute shall be brought exclusively in the state or federal courts located within the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.
You may not assign, transfer, or delegate these Terms, in whole or in part, without Nuvyo's prior written consent. Any attempted assignment in violation of this provision is void. Nuvyo may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, sale of assets, financing, or other corporate transaction.
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Nuvyo regarding your access to and use of the Services and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.
Nuvyo's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Nuvyo to be effective.
These Terms are for the sole benefit of you and Nuvyo and do not confer any rights or remedies on any third party.
Nuvyo may modify or update these Terms from time to time in its sole discretion. Any changes become effective upon posting the updated Terms. Your continued access to or use of the Services after the effective date of any changes constitutes acceptance of the revised Terms.
You are responsible for reviewing these Terms periodically to stay informed of any updates. If you do not agree to the modified Terms, you must discontinue use of the Services.
